These Terms & Conditions (“Terms”) govern access to and use of the VIP New Life website located at www.vip-newlife.com (the “Website”) and all purchases made through the Website.

The Website is operated by VIP New Life, a division of Victory Innovation Performance, a California business (“VIP New Life,” “we,” “us,” or “our”). By accessing or using the Website, creating an account, submitting information, placing an order, or purchasing any product through the Website, you agree to be bound by these Terms and our separate [Privacy Policy]. If you do not agree to these Terms, do not use the Website or place an order.

1. Scope of These Terms

These Terms apply specifically to the products currently offered for purchase through the Website’s online checkout. At present, those products are Research Use Only (“RUO”) research products.

VIP New Life also makes certain wellness and research education programs, articles, guides, videos, and other educational materials available on the Website without charge. Those materials are not currently sold through Website checkout and are not medical services, healthcare services, or treatment programs. Their use is governed by these Terms unless VIP New Life provides separate terms for a particular program or resource.

VIP New Life may update these Terms or introduce additional products and services in the future. Additional terms may apply to offerings that are not currently available for purchase.

2. Eligibility and Age Requirement

You must be at least twenty-one (21) years old to access the purchasing functions of the Website, place an order, purchase or receive any product, or enter into an agreement with VIP New Life.

By placing an order, you represent and warrant that:

3. Research Use Only — Mandatory Acknowledgment

4. No Medical Advice or Doctor-Patient Relationship

Nothing on the Website, in a product description, in a Certificate of Analysis (“COA”), in an educational program, or in any communication from VIP New Life constitutes:

7. Accounts and Customer Information

12. Lost, Damaged, Delayed, or Incorrect Shipments

You must not discard damaged packaging or products before receiving instructions from VIP New Life if a carrier claim or product investigation may be required.

13. Cancellations

Opened, used, altered, contaminated, damaged, mishandled, improperly stored, or otherwise non-resalable products generally are not eligible for return or refund. Products designated as final sale, made-to-order, specially prepared, temperature-sensitive, or otherwise identified as non-returnable are not eligible for return except where required by applicable law or where VIP New Life shipped the wrong product or a product arrived damaged or defective.

You must not ship any product back without prior written authorization. Unauthorized returns may be refused, discarded, or returned to you at your expense.

Approved refunds will generally be issued to the original payment method after VIP New Life receives and evaluates the returned product. 15. Chargebacks and Payment Disputes

• Misrepresent your age, identity, affiliation, intended use, or eligibility;
• Resell, repackage, relabel, alter, dilute, modify, or misbrand any product;
• Use a product in a way inconsistent with its label, documentation, or intended research purpose;
• Use the Website to violate another person’s rights or applicable law;
• Attempt to gain unauthorized access to the Website, accounts, systems, or data;
• Interfere with Website operation, security, or availability;

VIP New Life is not responsible for loss or damage arising from your use of third-party websites or services.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website, Website Content, and products are provided on an “AS IS” and “AS AVAILABLE” basis.

VIP New Life disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, compatibility, security, and quiet enjoyment, except to the extent a warranty cannot lawfully be excluded.

VIP New Life does not warrant that:

23. Dispute Resolution

23.1 Informal Resolution First

Before starting arbitration or filing a court action, you and VIP New Life agree to attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Website, a product, or an order (“Dispute”).

VIP New Life will pay arbitration fees to the extent required by the applicable consumer arbitration rules or applicable law. Each party will be responsible for its own attorneys’ fees unless applicable law or the arbitration rules permit the prevailing party to recover them.

23.3 Small Claims and Other Excluded Matters

Either party may bring an eligible individual claim in small claims court instead of arbitration, provided the claim remains in small claims court and is brought on an individual basis.

The following matters are not required to be arbitrated:

• An action to protect or enforce intellectual-property rights;
• An action seeking emergency or temporary injunctive relief to prevent unauthorized access, misuse of the Website, infringement, or disclosure of confidential information;
• Matters that applicable law does not permit to be resolved through arbitration; and
• Any other matter expressly excluded by applicable law.

23.4 Class-Action and Representative-Action Waiver

To the maximum extent permitted by law, you and VIP New Life agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, representative, or participant in any purported class, collective, consolidated, private-attorney-general, or representative proceeding.

Unless both parties agree otherwise in writing, the arbitrator may not:

• Combine or consolidate claims of more than one person;
• Conduct a class, collective, consolidated, or representative arbitration;
• Award relief to anyone other than the individual party seeking relief; or
• Adjudicate claims brought on behalf of the general public.

If a court determines that a particular claim or remedy cannot lawfully be waived or arbitrated, that claim or remedy will proceed in court to the extent required by law, and the remaining provisions will remain in effect.

23.5 Arbitration Opt-Out

These Terms and any Dispute not subject to arbitration will be governed by the laws of the State of California, without regard to its conflict-of-laws principles, except to the extent federal law applies.

For matters permitted to proceed in court, you and VIP New Life consent to the exclusive jurisdiction and venue of the state or federal courts located in [County], California, except that an eligible individual small-claims action may be brought in the appropriate small claims court.

Nothing in this section prevents a party from seeking relief in another forum when required by applicable law.

25. Force Majeure

VIP New Life will not be responsible for delay, interruption, failure, or inability to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, supply shortages, transportation disruptions, carrier failures, governmental action, changes in law, utility or Internet failures, cyberattacks, or failures of third-party service providers.

This section does not eliminate any obligation to provide refunds or other remedies required by applicable law.

26. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

If a provision cannot be modified or enforced without changing its essential purpose, it will be severed only to the extent necessary, and the remainder of these Terms will continue to apply.

27. No Waiver

VIP New Life’s failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later. A waiver is effective only if provided in writing by an authorized representative of VIP New Life.

28. Assignment

You may not assign, transfer, delegate, or otherwise dispose of your rights or obligations under these Terms without VIP New Life’s prior written consent.VIP New Life may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, change of control, or operation of the business.

29. Entire Agreement

These Terms, together with any applicable product-specific terms, checkout disclosures, [Privacy Policy], [Shipping Policy], and [Refund and Return Policy], constitute the entire agreement between you and VIP New Life concerning your use of the Website and purchases made through the online store.
